Code of professional ethics
I. Purpose
In order to regulate the professional ethics of all employees and safeguard the interests of the company, this code is formulated in accordance with the national laws, the regulatory requirements of the company's listing place and the articles of association of the company.
2. Scope of application
This code applies to all employees of the Group company.
Iii. Responsibilities

4.1 Agree with the spirit and purpose of the company, and practice the core management philosophy of the company. 4.2 Participation in activities that may lead to a conflict of interest with the Company is prohibited. It mainly includes the following aspects:
4.2.1 Employees of the Company shall not privately occupy opportunities that should be within the scope of business activities of the Company; Do not use the company's property, information or position for personal gain.
4.2.2 Employees of the Company shall not hold positions in any capacity in any company or unit that has a competitive relationship with the Company, conflicts with the company's interests or has the possibility of conflicts, and shall not engage in activities that compete with the Company.
4.2.3 Employees of the Company shall not accept valuable gifts that may influence business decisions and impair independent judgment. Nor can they allow their relatives or third parties to receive such gifts. Employees may exchange non-cash courtesy souvenirs during business activities, but this shall not affect normal business transactions. It is strictly prohibited to offer, give or promise to give money and other items of value to government officials by any means for business purposes. Employees purchasing goods on behalf of the Company shall follow the Company's procurement policy and shall not engage in bribery, kickbacks or other inducements in business dealings.
4.2.4 Employees of the Company shall abide by the relevant provisions of the Company on the protection of trade secrets and information disclosure, and shall not disclose or use any confidential information related to the Company without authorization.
4.2.5 Employees and relatives of the Company shall not, in violation of the articles of association, acquire assets of the company or accept loans or loan guarantees provided by the company.
4.3 Employees of the Company shall be loyal to the company, honest and trustworthy, and oppose cheating and falsification for any purpose.
4.4 Employees of the company shall inherit and promote excellent professional ethics. Maintain the fine tradition of telling the truth, doing honest things, being honest, strict requirements, strict organization, serious attitude, and strict discipline.
4.5 Employees of the Company shall comply with the laws and regulations of the region where the Company operates its business and the requirements of the relevant regulatory rules of the place where the Company is listed.
4.6 Employees of the Company shall compete fairly in business activities, treat customers and suppliers fairly, treat employees endowed with management leadership, and treat all employees within the scope of management leadership fairly and impartially. In performing its duties and foreign business dealings, the company shall not impair its reputation of fairness and honesty.
4.7 Employees of the Company shall strictly comply with relevant rules and regulations in business operation to ensure that the company's business records are accurate and clear. It is strictly prohibited to engage in fraud, fraud or other bad behavior in the business.
4.8 In all business activities, the employees of the Company shall establish a business awareness of protecting the assets of the Company and using the assets of the Company for lawful purposes, protect the assets of the Company according to law, and ensure effective use.
4.9 The employees of the Company shall have the right and obligation to report to the Supervision Department of the Company the behaviors of themselves and others in violation of national laws, internal management regulations of the Company and this Code, and the Company shall keep the report confidential and no one shall retaliate.
4.10 The Company shall procure materials in a responsible manner and, where reasonable, shall ensure that tantalum, tin, tungsten and gold contained in the manufactured products do not directly or indirectly provide funds to benefit armed groups engaged in human rights abuses in the Democratic Republic of the Congo or its neighbouring countries. When the company has the opportunity to use these minerals, it should conduct due diligence on the origin and chain of custody of these minerals, all the way down to the original source, to ensure that these minerals do not come from the above-mentioned countries or organizations that abuse human rights.
V. Implementation
5.1 The Human Resources Department shall be responsible for the establishment of the enterprise's internal professional ethics education plan, conduct at least one professional ethics education and training for employees every year, educate employees to learn the specific requirements and rules of professional ethics, conduct relevant assessment and make training records after training.
5.2 The enterprise and all departments shall implement the code of professional ethics, and the head of the department shall hold an analysis meeting from time to time, discuss various problems encountered in actual work, and make relevant records.
5.3 Strengthen inspection and assessment, open channels for collecting regulatory information, take professional ethics as one of the important assessment indicators for the performance evaluation of all departments and employees, and take the mutual evaluation of departments and employees and the scoring of leaders as evaluation indicators.
And the annual assessment results into the year-end comprehensive assessment, as a prerequisite for the selection of excellent collective or advanced employees. At the same time, for outstanding performance, it is necessary to report praise as an example, and the departments or individuals who violate the professional ethics of the enterprise should be punished accordingly.
